Seminar Revisi UU BUMN, Pendirian BPI Danantara, dan Tata Kelola BUMN serta Anak Usaha BUMN
We are pleased to have our Managing Partner & Head of the M&A Practice Group, Pramudya A. Oktavinanda, and Head of Litigation and Alternative Dispute Resolution Practice Group, Melati Siregar, invited as speakers at the seminar “Revisi UU BUMN, Pendirian BPI Danantara, dan Tata Kelola BUMN serta Anak Usaha BUMN” hosted by PT ANTAM Tbk. They were supported by our Counsel, Ajeng Ayuningtyas.
In this seminar, we provided in-depth insights into Law No. 1 of 2025 on the Third Amendment to Law No. 19 of 2003 on State-Owned Enterprises (Revised SOE Law), focusing on key governance issues, including:
(i) the constitutionality of share ownership, legal status, and management of SOEs and their subsidiaries;
(ii) implications of state losses related to SOEs and their subsidiaries;
(iii) the status of SOEs, and their management, and employees;
(iv) dispute resolution mechanisms involving SOEs; and
(v) the required timeline for compliance with the new provisions under the Revised SOE Law.
We also elaborated on the necessary steps that SOE and former SOE subsidiaries should take in light of the enactment of the Revised SOE Law, particularly concerning their status in relation to the Indonesian Company Law and the Indonesian Capital Market Law. This includes the interconnection between SOE regulations and capital market governance, ensuring alignment with the latest legal framework.
