Dhea Gita Pramesti (Dhea) is a Counsel of UMBRA – Strategic Legal Solutions and the co-head of our Merger & Acquisition Focus Group, dedicating her work in the field of M&A, Corporate Restructuring and Project Financing (with a focus on the equity side).

 

With more than a decade of experience, Dhea has been closely involved in some of the largest and most sophisticated national and cross border transactions in power, energy, and technology, media, and telecommunication (TMT) sectors. Her multitudes of experience include advising PT Telekomunikasi Indonesia (Persero) in the IDR53 trillion spin-off of Indihome retail internet business to Telkomsel, PT PLN (Persero) in the restructuring of its payment gateway system involving simultaneous negotiation with more than 50 financial institutions covering more than 90 million customers of PLN in compliance with the latest data privacy law, and PT Indo Raya Tenaga in the project financing and structuring of hybrid securities for US$3.3 billion power plant project.

 

She received her LLM from University of Pennsylvania Carey Law School in 2021, specializing in corporate law and governance, and is acknowledged as one of Indonesia’s 2024 Rising Star Lawyer by Asian Legal Business, being one of the youngest legal professionals featured in that year. Her inclusion in the Rising Star List underscores her outstanding performance, earning acclaim and commendations from clients who recognize her exemplary work.

  • Representing PT Telkom Indonesia (Persero) Tbk. (Telkom), the largest telco company group in Indonesia, in its proposed investment in a joint venture company with Bank Mandiri group (via Telkom subsidiary, PT Metra Digital Investasi (MDI)) for the development of new integrated digital health and fitness apps via innovative in-kind contribution (ongoing)
  • Representing Ruangguru group, the largest edutech start-up company in Indonesia, in its acquisition of Schoters group, one of Indonesia’s fastest growing online education platform companies (2022).
  • Representing a foreign data analytic and processing company in the acquisition of an Indonesian market and data research company. The deal involved complex acquisition structure and payment mechanism requiring innovative structure to deal with multiple shareholders (including minority shareholders in the form of venture capitals and angel investors). The deal was also closed during the height of the pandemic requiring systematic planning and preparation given severe travel restrictions (2020).
  • Representing PT PLN Enjinering (PLNE) in its proposed acquisition of an electricity switchgear company via complex debt and business restructuring program (ongoing).
  • Representing PT Pembangkitan Jawa Bali (PJB) and PLNE in their IDR1.4 trillion corporate restructuring for the streamlining of their 3 subsidiaries in the field of EPC contractor, O&M services and EPC consulting via share swap-based acquisition and merger (2021-2022).
  • Representing Telkom and MDI in the drafting and negotiation of agreements for the development and payment mechanism of new integrated digital health and fitness apps with PT FitAja Digital Nusantara (ongoing).
  • Representing a major private equity group in the drafting and negotiation of construction and supply contracts for the development of its data center business portfolio (ongoing).
