We are honoured to have been invited by our valued client, PT Multimedia Nusantara (TelkomMetra), to contribute to the “Strategic Integration Forum TelkomMetra Group” in Yogyakarta.
Our Senior Partner and Head of Dispute Resolution Focus Group Melati Siregar, supported by our Associate Reandy Summa Justitio, presented on “Ketentuan terkait Korporasi dalam KUHP dan KUHAP Baru” (Provisions on Corporation in the New Criminal and Criminal Procedural Code) a topic of growing relevance as Indonesia’s new Criminal Code and Criminal Procedure Code continue to reshape the corporate legal landscape.
The session brought together TelkomMetra’s directors and senior leaders, offering a comprehensive look at how the new codes redefine corporate criminal accountability; from recognising corporations as subjects of criminal law, to unpacking officer liability and enforcement mechanisms. The discussion also examined how criminal proceedings apply to corporations undergoing structural changes such as merger, consolidation, separation, or dissolution, and what the new regulatory frameworks mean in practice.
Among the questions that animated the room: if a criminal act is committed by an employee acting within the scope of their role, but without the knowledge of the board of directors, does that constitute a corporate crime, and who bears criminal responsibility? It is precisely these questions that underscore why understanding the new frameworks matters at every level of leadership.
