Sosialisasi Dampak Perubahan UU BUMN

We are proud to announce that our socialization session on Law No. 1 of 2025 on the Third Amendment to Law No. 19 of 2003 on State-Owned Enterprises (Revised SOE Law) was successfully conducted with the distinguished participation of PT Jasa Marga (Persero) Tbk and its subsidiaries. Under the expert guidance of our Senior Partner, Ahmad Zakaria, the session explored key legal aspects that could potentially impact the structure and governance of Jasa Marga Group.

 

A significant focus was placed on the Business Judgment Rule (BJR) aspect, as the Revised SOE Law clarifies that SOE profits or losses are not considered state profits or losses. It also emphasizes that directors, the board of commissioners, and employees of SOEs are no longer categorized as state officials (penyelenggara negara), which differs from the provisions in the Corruption Law. The discussion also addressed how the Revised SOE Law now allows special assignments (penugasan khusus) not only to SOEs but also to their subsidiaries, expanding the scope of government-directed initiatives.

 

With nearly 200 participants in attendance, the event was characterized by active engagement and a robust exchange of ideas, as evidenced by the steady stream of insightful questions via the chat box.
