Seminar KBRI, Telkomcel, dan Bank Mandiri Dili “Prinsip Business Judgement Rule dan Praktiknya dalam Lingkungan Badan Usaha Milik Negara
Our Senior Partner and Head of the Securities and Corporate Compliance Practice Group, Ahmad Zakaria, is honored to be invited by the Embassy of the Republic of Indonesia in Dili to be a speaker about the Business Judgement Rule and its Practical Application within State-Owned Enterprises, organized by Telkomcel, a brand owned by Telekomunikasi Indonesia International S.A in Timor-Leste, and Bank Mandiri Dili.
In making any business decisions, corporate management acts on an informed basis, in good faith, and in the honest belief that their actions are in the corporation’s best interest. It is essential, given that such decisions can have significant consequences for their companies and shareholders, who hold stakes in companies. This leads to the principle of the Business Judgment Rule, allowing corporate management to have creativity in their business decision-making processes while still performing their duties in the best manner possible.
With his extensive experience in handling state-owned enterprises, Ahmad Zakaria shared invaluable perspectives on how management can balance between making sound business judgments and taking proper business risks while at the same time avoiding any practices that would impose criminal liabilities. He also delved into the conceptual developments of the Business Judgment Rule involving the management of State-Owned Enterprises.
The event was a full house, exploring the real-life application of the business judgment rule and how management can ensure compliance with the principle by examining recent cases.
