The Establishment of the Indonesian Food State-Owned Enterprise Holding Group
We are proud to announce the establishment of the Indonesian Food State-Owned Enterprise Holding Group where our Senior Partners Ahmad Zakaria, and Liyanto Wijaya, Senior Associate Paula Aprijanto, and Associates Putika Nuralida Herdin, Christofer Ruminsar, and Leanna Leonardo assisted the Ministry of SOEs, PT Rajawali Nusantara Indonesia (Persero), PT Perikanan Indonesia, PT Sang Hyang Seri, PT Perusahaan Perdagangan Indonesia, PT Garam, and PT Berdikari in one of the most complex establishments of state-owned enterprise holding groups to date.
This state-of-the-art transaction involves a combination of merger of six companies with different legal status, requiring a complex process of converting some of the entities into limited liability companies before the merger can occur. We advise on the entire aspects of the transaction including structuring of the transaction, compliance review, transaction documents, and large-scale employment matters, resulting in the establishment of a single entity of Food SOE Holding.
The creation of the Food SOE Holding is expected to improve the business performance and integration along the food value chain for the purpose of leading the entire national food ecosystem and is a part of Government’s strategic plan of ensuring food sufficiency for the nation, being a crucial element for making a successful development of Indonesia. The Food SOE Holding will also further collaborate with other SOEs, business clusters, and private sectors, and ultimately, become a world-class food company.
