Coal Asia Magazine Vol.103 Article: Foreign Investment Ownership in Indonesian Mining Companies Through Capital Market

UMBRA’s Partners, Pramudya A. OktavinandaReggy Firmansyah, and Liyanto Wijaya and associate, Paula Aprijanto recently contributed an article on “Foreign Investment Ownership in Indonesian Mining Companies Through Capital Market” in the newly issued Coal & Minerals Asia Magazine Vol. 103.

In this article, we shared our thoughts on the possibility of using initial public offering (IPO) for foreign-owned Indonesian mining companies to deal with future divestment requirements as mandated by the latest Minister of Energy and Mineral Resources regulations on divestment obligation, taking into account the recent update on Indonesian capital market regulations on takeover.

Combining our capital market and mining & energy expertise, we also discussed various practical issues which may affect the overall transaction structuring process, particularly, the classic debate on direct vs indirect/portfolio investment in foreign investment regulations, public offering concept, proper definition and timing of divestment, and change of control and exemption to mandatory tender offer.
