Winda is an Associate of UMBRA – Strategic Legal Solutions. She has been involved in various research, legal memos drafting, due diligence, and transactions mainly related to M&A, capital market, and general corporate matters. During her nearly 5 years of career, she has worked on a variety of high-profile mergers and acquisitions representing acquirers, sellers, and targets. Winda is well-versed in various intricate industries such as telecommunication, data & analytics service, and state-owned enterprises.     

 

Winda received her law degree from the Universitas Indonesia in February 2019. She was in the cohort of 7% law students who successfully completed this degree within 3.5 years and graduated with honors (cum laude).

 

During her studies, she was actively involved in reputable intercollegiate moot court competitions and contract drafting competitions which have shaped her to be a critical thinker and highly skilled at research, for instance: (i) the Asian Law Students’ Association (ALSA) National Moot Court Competition (NMCC) Trophy of Supreme Court XX, the oldest and the most prestigious moot court competition in Indonesia; (ii) the Moot Court Competition Trophy of Bulaksumur III Universitas Gadjah Mada, one of the most highly regarded civil moot court competitions in Indonesia; and (iii) the National Contract Drafting Competition of Pekan Hukum Nasional held by Universitas Sebelas Maret Surakarta.

 

Before joining UMBRA in February 2019, Winda served as a law clerk to the Institute of Legal Aid and Consultation (Lembaga Konsultasi dan Bantuan Hukum) of the Faculty of Law Universitas Indonesia and provided pro bono representation to clients in the greater Jakarta area.

 

She passed the Indonesian Bar Exam in October 2019 and is awaiting admission to the Association of Indonesian Advocates (PERADI).

  • Assisting a private equity company in its proposed Series B investment in a major agrarian start-up (ongoing).
  • Assisting PT Telekomunikasi Seluler (Telkomsel) in its USD150 million strategic investment in PT Aplikasi Karya Anak Bangsa (Gojek) through a complex hybrid securities structure and innovative conversion mechanism, and technology & business collaboration arrangement between Telkomsel and Gojek. The deal signifies a major step for Telkomsel’s transformation into a leading digital company. This is also the first time ever investment made by a state-owned company group in Indonesian digital Unicorn (2020).
  • Assisting PT Dayamitra Telekomunikasi (Mitratel) in the Rp10.3 trillion complex sale & leaseback transaction of 6,050 telecommunication towers of Telkomsel. The deal was completed swiftly in less than 2 months and is the largest telco assets M&A transaction in South East Asia to date (2020).
  • Assisting PT Persada Sokka Tama in the proposed acquisition of telco tower assets from a prominent telco tower company (2020-ongoing).
  • Assisting a foreign data analytic and processing company in the acquisition of an Indonesian market and data research company (2020).
  • Assisting PT Aneka Tambang Tbk. (Antam) in its proposed divestment of its gold mining subsidiary company (2020-ongoing).
