Warm congratulations to all parties involved in the successful signing of the Share Sale and Purchase Agreement of PT Administrasi Medika. We are proud to have played a role in supporting this significant transaction in Indonesia’s healthcare sector as counsel to PT Multimedia Nusantara, a subsidiary of PT Telkom Indonesia (Persero) Tbk, in its divestment of PT Administrasi Medika (AdMedika) and PT Sarana Usaha Sejahtera Insanpalapa (TelkoMedika) (collectively, the AdMedika Group) to Fullerton Health.
UMBRA acted as legal counsel to PT Multimedia Nusantara on an end-to-end basis throughout the divestment process, including advising on the competitive bidding process, transaction structuring, negotiation of key commercial and legal terms, preparation and finalization of transaction documentation, the successful signing of the Conditional Share Sale and Purchase Agreement, and the fulfillment of extensive conditions precedent culminating in the successful closing of the transaction.
